These Terms of Service (“Terms”) govern access to and use of the NSOffice.AI platform (the “Service”), provided by Netscience Technologies Private Limited, trading as NSOffice.AI (“NSOffice.AI,” “we,” “us,” “our”). By creating an account, signing an order form, or otherwise using the Service, the organization on whose behalf you act (“Customer,” “you,” “your”) agrees to be bound by these Terms.
1. The Service
NSOffice.AI is an enterprise AI workspace built around three core capabilities:
- Think — conversational AI chat, document upload and analysis, and AI-generated business documents (Word, PowerPoint, Excel, PDF, and CSV outputs), across multiple supported AI model providers;
- Know — secure, real-time retrieval of your organization's own enterprise knowledge, including connected business systems, uploaded documents, and organizational memory, so responses are grounded in your organization's actual data without our maintaining a separate long-term copy of connected-system data beyond what you've directly uploaded; and
- Do — the ability to perform actions on your behalf through Connectors to your organization's own third-party business systems (such as email, calendar, CRM, ERP, and databases) and through specialized AI agents ("Bees") that perform purpose-built tasks such as image generation, video generation, web and news research, and policy question-answering — each subject to the authorization you grant and to Section 6 below.
We may add, modify, or retire specific features from time to time as described in Section 16.
2. Eligibility and Accounts
The Service is intended for business use by organizations, not individual consumers. You must be authorized to bind your organization to these Terms. Access is provided through enterprise authentication methods (including passwordless login, multi-factor authentication, and single sign-on, where configured). You are responsible for your authorized users' conduct, for maintaining the confidentiality of login credentials, and for promptly notifying us of any suspected unauthorized access at [security contact].
3. Subscriptions, Nectar Units, and Billing
- Access to the Service is provided under a subscription plan set out in your order form, which specifies your subscription tier, user limits, and included usage.
- Certain features (including AI chat, document processing, connector usage, and Bee usage) consume usage credits ("Nectar Units"), tracked through your organization's Nectar Wallet, at rates published in your order form or in-platform pricing reference. Nectar Units are allocated to your organization on a recurring basis according to your plan and do not carry a cash value.
- If your organization exhausts its allotted Nectar Units before the end of a billing period, continued access to Nectar Unit-consuming features may be limited until the next allocation, unless you purchase additional Nectar Units or upgrade your plan.
- Fees are billed in accordance with your order form. Except as required by law or expressly stated otherwise, fees are non-refundable.

4. Customer Content
- "Customer Content" means any data, documents, prompts, and other content that you or your authorized users submit to, or generate through, the Service, including content accessed via a Connector or Bee.
- You retain all ownership rights in Customer Content. You grant us a limited, non-exclusive license to process Customer Content solely to provide, secure, support, and improve the Service's operation for your organization, subject to Section 7 and our Privacy Policy and Data Processing Agreement.
- You represent that you have all rights necessary to submit Customer Content to the Service, including any personal data of your employees or other individuals, and that doing so does not infringe any third party's rights.
5. AI-Generated Output
- The Service uses artificial intelligence, including third-party AI models, to generate responses, summaries, and document artifacts ("Output"). Output is generated probabilistically and may be inaccurate, incomplete, or unsuitable for your intended purpose.
- You are responsible for reviewing and validating Output before relying on it for any business, legal, financial, medical, or other consequential decision. The Service is a productivity tool, not a substitute for professional judgment.
- Subject to your compliance with these Terms, you may use Output for your internal business purposes. We make no claim of ownership over Output generated specifically for your organization; however, because AI-generated content may not be uniquely original, we cannot guarantee that any given Output is free of similarity to output generated for other users.
6. AI-Initiated Actions
Certain features of the Service (the "Do" capability) allow it to perform actions on your behalf through a Connector or a Bee — for example, sending an email, creating or updating a record in a connected system, querying a database, generating a report, or triggering a workflow.
- You are responsible for the scope of authorization you grant the Service to take such actions, and for configuring appropriate confirmation steps for actions with an external or irreversible effect.
- Where the Service presents a confirmation step before executing an action, you are responsible for reviewing that action before confirming it.
- You should not configure the Service to perform consequential actions (e.g., financial transactions, external communications sent on your organization's behalf) without an appropriate human review step, where your organization's own policies would otherwise require one.
- We are not responsible for the consequences of an action performed within the scope of authorization you granted, except to the extent arising from our breach of these Terms.
7. How AI Processing Works
- Every request that requires an AI-generated response is first screened by our guardrails layer, which is designed to detect and redact personal data and screen for unsafe or malicious content, before any content is submitted to the underlying AI model for inference.
- We do not use your Customer Content to train our own or any third-party provider's general-purpose AI models. See our Your Data & Model Performance page for further detail.
- Where a request draws on a connected business system ("Know"), the Service retrieves relevant information in real time rather than maintaining a separate long-term copy of that connected-system data outside your assigned Regional Data Plane.
- Where a Connector or Bee is used, the Service accesses your connected third-party system only within the scope of the authorization (e.g., OAuth consent) you or your authorized user grants, and only for the purpose of fulfilling your request.
8. Data Residency and Security
- Customer Content is stored and processed within your organization's assigned Regional Data Plane: data for Indian organizations is stored and processed on servers located in India; data for UK organizations is stored and processed on servers located in the United Kingdom. We do not transfer stored Customer Content across these regional boundaries.
- Data retrieved in real time from a connected system through Know is processed transiently to fulfill your request and is not persisted as a separate copy beyond what is necessary for that purpose, consistent with the regional storage commitment above.
- We maintain an Information Security Management System certified to ISO/IEC 27001:2022. Further detail is available in our Security Overview and Data Processing Agreement, which is incorporated into these Terms where the Service involves processing personal data on your behalf.
- Upon termination, Customer Content follows the deletion timeline in our Privacy Policy: a 30-day recoverable period followed by permanent deletion within 180 days, including derived AI memory data, except where retention is required by law.
9. Acceptable Use
Use of the Service is subject to our Usage Policy, incorporated into these Terms by reference, including restrictions on unlawful use, attempts to bypass security controls (including guardrails), and unauthorized access to other organizations' data.
10. Connectors, Bees, and Third-Party Services
Connector features rely on third-party systems and services you choose to connect (e.g., your organization's email, calendar, CRM, ERP, or database systems). Bees are specialized AI agents built for a specific task, such as image generation, video generation, web and news research, or policy question-answering, and may or may not rely on a third-party system depending on the specific Bee.
- We are not responsible for the availability, accuracy, or acts and omissions of third-party systems accessed through a Connector or Bee.
- Your use of any connected third-party system remains subject to that provider's own terms.
- Output from a Bee is subject to the same AI-Generated Output terms in Section 5, and, where the Bee performs an action rather than only generating content, Section 6 above.
11. Intellectual Property
We and our licensors retain all right, title, and interest in the Service, including its underlying software, models, architecture, and any general improvements made to it. Nothing in these Terms transfers ownership of our technology, trademarks, or know-how to you.
12. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it applies to its own confidential information of a similar nature, and no less than reasonable care, and will use it only to perform its obligations under these Terms.
13. Warranties and Disclaimers
We will provide the Service in accordance with any service levels set out in your order form. Except as expressly stated in these Terms or your order form, the Service and any Output are provided "as is," without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
14. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages arising out of these Terms. Each party's total liability arising out of or related to these Terms is limited as set out in your order form. Nothing in this Section limits liability that cannot be excluded or limited under applicable law.
15. Indemnification
You agree to indemnify and hold us harmless from third-party claims arising from: (a) your Customer Content; (b) your use of the Service in violation of these Terms or the Usage Policy, including any AI-Initiated Action you authorized under Section 6; or (c) your violation of applicable law. We agree to indemnify and hold you harmless from third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes a third party's intellectual property rights, subject to the limitations in Section 14.
16. Changes to the Service
We may modify, add, or discontinue features of the Service from time to time. We will provide reasonable notice of any change that materially reduces core functionality you are actively subscribed to.
17. Term, Suspension, and Termination
- These Terms remain in effect for the duration of your subscription, as set out in your order form.
- We may suspend access immediately if we reasonably believe your use poses a security risk to the Service or other customers, with notice as soon as reasonably practicable.
- Either party may terminate as set out in your order form. On termination, Section 8's data deletion timeline applies.
18. Compliance with Laws; Export Control
Each party will comply with applicable laws in connection with its performance under these Terms, including applicable data protection, anti-corruption, and export control laws. You will not use the Service in violation of applicable export control or sanctions laws.
19. Force Majeure
Neither party is liable for delay or failure to perform resulting from causes beyond its reasonable control, including natural disaster, war, act of government, or failure of third-party infrastructure or telecommunications.
20. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes with reasonable advance notice before they take effect; continued use of the Service after the effective date constitutes acceptance.
21. Assignment
Neither party may assign these Terms without the other's prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee agrees to be bound by these Terms.
22. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless your order form specifies otherwise for your region. [Add dispute resolution mechanism — arbitration seat/rules, or courts of jurisdiction — once decided.]
23. General
These Terms, together with your order form, our Usage Policy, Privacy Policy, and Data Processing Agreement (where applicable), constitute the entire agreement between the parties regarding the Service.
